1. Acceptance of these Terms of Service
Agreement to website terms
These Terms of Service (Terms) govern access to and use of the website https://cliniflo.technology operated by CLINIFLO LTD (we, us, our), of 37 Barrow Road, Loughborough, LE12 8DH United Kingdom. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you must not use the Site.
If you use the Site on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, in which case you includes that organisation. Separate commercial engagements for software services are governed by our Terms and Conditions or a negotiated contract, which prevail over these Terms in the event of conflict for those engagements.
2. Description of services presented on the Site
Information about our services
The Site provides information about CLINIFLO LTD's offerings in custom software engineering, IT systems design, and application development. Content is for general information and does not constitute a binding offer unless expressly stated in a written proposal or statement of work. Project scope, fees, timelines, and deliverables are defined only in signed commercial documents.
We may update, suspend, or discontinue Site features at any time without liability. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, although we take reasonable steps to keep it secure and available.
Case studies or portfolio descriptions are illustrative. They do not guarantee that similar outcomes will be achieved for every client or that named methods are available on identical commercial terms.
3. Accounts and access credentials
The public Site may not require an account. If we provide you with credentials for a staging environment, client portal, or collaboration tool, you must keep them confidential, use them only for authorised purposes, and notify us promptly of suspected unauthorised use. We may suspend access where we reasonably believe security or acceptable use has been compromised.
You are responsible for activity occurring under your credentials. Shared credentials are discouraged. We may require multi-factor authentication where available.
We may disable accounts that have been inactive for a prolonged period or that present a security risk. Data associated with disabled accounts is handled under our Privacy Policy and any applicable contract.
4. Acceptable use
You must not misuse the Site. Prohibited conduct includes attempting unauthorised access to systems or data; probing or scanning except with our prior written permission; introducing malware; overloading infrastructure; scraping content by automated means in a manner that impairs the Site or violates robots rules we publish; using the Site to send spam; impersonating others; or using the Site for unlawful purposes.
You must not upload or transmit unlawful, defamatory, or infringing content through any Site forms or channels we provide. We may remove content and restrict access where we reasonably believe these Terms have been breached.
You must not use the Site to reverse engineer our methods for competitive copying of proprietary delivery frameworks beyond what is visible as ordinary published marketing information.
5. Intellectual property
All intellectual property rights in the Site and its content, including text, graphics, logos, design, and software owned by CLINIFLO LTD, remain our property or that of our licensors. You may view and download pages for personal or internal business evaluation of our services, but you may not copy, modify, distribute, or create derivative works from Site content for commercial publication without our prior written consent.
Trade marks, trade names, and branding of CLINIFLO LTD may not be used without permission, except for accurate factual references. Client project materials shown in any portfolio remain subject to client confidentiality and licence terms and may be illustrative only.
Feedback you send about the Site may be used by us to improve the Site without obligation to you, provided we do not treat confidential commercial information as free to publish.
6. Fees and paid engagements
Browsing the Site is free of charge. Fees for professional services are set out in proposals, statements of work, or invoices under separate commercial terms. Nothing on the Site obliges us to provide services without a written agreement.
If any paid digital product is offered through the Site in future, additional terms will be presented at the point of purchase and will supplement these Terms.
Quotes displayed in marketing materials are indicative only and expire according to the written proposal that contains them.
7. Disclaimer of warranties
To the fullest extent permitted by law, the Site and its content are provided on an as is and as available basis without warranties of any kind, whether express or implied, including implied warranties of satisfactory quality, fitness for a particular purpose, and non-infringement. Informational content may not be complete or current.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under the laws of England and Wales.
We do not warrant that information on the Site constitutes legal, financial, or technical advice tailored to your circumstances. Professional advice should be obtained before relying on the Site for a purchasing decision of material consequence.
8. Limitation of liability
Subject to the non-excludable liabilities above, CLINIFLO LTD shall not be liable for indirect, incidental, special, consequential, or punitive losses; loss of profits, revenue, data, goodwill, or business opportunity; or procurement of substitute services, arising from or related to use of the Site, whether in contract, tort including negligence, or otherwise, even if foreseeable.
Our aggregate liability arising out of or relating to the Site under these Terms shall not exceed one hundred pounds sterling. This limitation reflects that the Site is an informational channel and not a paid service delivery platform.
Liability for contracted professional services is governed exclusively by the Terms and Conditions or other signed contract, not by this Site liability cap.
9. Termination and suspension
You may stop using the Site at any time. We may suspend or terminate access to the Site, in whole or in part, immediately if we reasonably believe you have breached these Terms, if required by law, or for operational reasons. Provisions that by their nature should survive will survive termination, including intellectual property, disclaimers, liability limits, and governing law.
Suspension of the Site does not terminate any separate commercial contract unless that contract so provides.
10. Privacy, cookies, and communications
Personal data collected through the Site is processed as described in privacy-policy.html. Cookie use is described in cookie-policy.html. Electronic communications you send to help@cliniflo.technology are treated as correspondence, not as a substitute for formal notices under a commercial contract unless the contract states otherwise.
You must not include malware, unlawful content, or another person's personal data in Site forms without authority.
11. Governing law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, without prejudice to any mandatory consumer protections that may apply if you are a consumer under applicable law.
Our operations are based in Loughborough, United Kingdom. The Site is not directed at consumers in other jurisdictions as a consumer contract. Domain: cliniflo.technology.
12. Changes to these Terms
We may revise these Terms from time to time by posting an updated version on the Site with a revised effective date. Continued use after changes constitutes acceptance of the revised Terms. If you do not agree, you must cease using the Site.
13. Contact
Questions about these Terms of Service may be directed to CLINIFLO LTD at help@cliniflo.technology, +44 7418 567890, or 37 Barrow Road, Loughborough, LE12 8DH United Kingdom. For commercial contract terms governing project delivery, see terms-and-conditions.html.
14. General
If any provision of these Terms is held invalid, the remaining provisions continue in effect. Failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without our consent. We may assign these Terms in connection with a corporate reorganisation. These Terms constitute the entire agreement regarding use of the Site and supersede prior representations about the Site, without affecting liability for fraudulent misrepresentation.
A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of them.
15. Linking and framing
You may link to the home page of the Site in a fair and legal manner that does not damage our reputation or suggest endorsement where none exists. You must not frame the Site or deep-link to pages in a way that presents our content as part of another site without our prior written consent.
We reserve the right to withdraw linking permission. Competitive scraping of Site copy for republication is prohibited. Short factual quotations with attribution for editorial review are permitted.
16. Security reporting and vulnerability disclosure
If you believe you have found a security vulnerability on the Site, please report it to help@cliniflo.technology with a clear description of the issue and steps to reproduce at a high level. Do not access data that is not yours, do not degrade the Site, and do not demand payment as a condition of disclosure.
We will acknowledge good-faith reports and may take reasonable time to investigate. Public disclosure before we have had a reasonable opportunity to remediate is discouraged. Nothing in this section authorises testing beyond what is necessary to confirm a report, and unauthorised access remains prohibited.
17. Availability, maintenance, and force majeure for the Site
We may take the Site offline for maintenance, upgrades, or emergency security work. We do not guarantee continuous availability. Events beyond our reasonable control, including hosting-provider outages, network failures, and denial-of-service attacks, may interrupt access without liability under these Terms.
Scheduled marketing campaigns or third-party listings that depend on Site availability are undertaken at your own risk. For contracted project delivery, availability obligations, if any, are set out only in the relevant commercial agreement.
18. Relationship to commercial Terms and Conditions
These Terms of Service apply to browsing and use of the public Site. They do not replace CLINIFLO LTD Terms and Conditions that govern paid custom software engineering, IT systems design, and application development engagements. If you commission work, the signed statement of work and terms-and-conditions.html (or a negotiated master agreement) control fees, deliverables, intellectual property assignment, liability caps, and termination for that engagement.
In the event of conflict between these Terms and a signed commercial contract, the commercial contract prevails for the engagement. In the event of conflict between these Terms and the Privacy Policy regarding personal data, the Privacy Policy prevails for processing transparency, without limiting acceptable-use rules in these Terms.
